1. Agreement to these terms

These Terms of Use govern your use of agisalt.com and the AGISALT assistant on it (together, the "Site"), operated by AGISALT Inc. ("AGISALT," "we," "us"), a Delaware corporation.

By using the Site you accept these terms. If you do not accept them, do not use the Site.

If you already have a signed agreement with us, that agreement wins. These terms govern the Site only. They do not vary, expand or limit any master services agreement, statement of work, subscription order, data processing agreement or non-disclosure agreement between AGISALT and you or your organisation.

2. Who may use the Site

The Site is for business use by people aged 16 or over. By using it you confirm that you are acting in a business capacity, and that if you are acting for an organisation you are authorised to do so.

3. The AGISALT assistant

The Site includes an AI agent. The following apply whenever you use it.

• It is an AI, not a person. It identifies itself as an AI agent. You are not talking to an AGISALT employee.
• Output may be inaccurate. AI systems generate text that may be inaccurate, incomplete or out of date. AGISALT does not warrant the accuracy or completeness of any output. You must verify any output with AGISALT personnel before relying on it.
• It gives no professional advice. Nothing it says is legal, tax, accounting, security, regulatory, medical or investment advice.
• It cannot commit us. Nothing the assistant says is an offer, a quotation, a warranty, a service level, a certification, a representation about our security or compliance posture, or a contract. It has no authority to bind AGISALT, and you may not rely on it as if it did. Only a written agreement signed by an authorised officer of AGISALT binds AGISALT.
• Conversations are recorded. What you type is stored and reviewed. See the Privacy Notice.
• Do not submit sensitive information. Do not enter into the assistant any protected health information, payment card data, government identification numbers, credentials, trade secrets, export-controlled or classified information, or anyone else's personal data. If your question needs that context, ask the assistant to arrange a call.
• No confidentiality. Information you put into the Site is not confidential and is not subject to any non-disclosure agreement unless a signed NDA already covers it and you send it through the channel that NDA specifies.

4. Nothing here is an offer

Everything on the Site, including descriptions of services, agents, capabilities, roadmaps, security posture and partner relationships, is provided for general information. It is not an offer capable of acceptance, and it is not a representation or warranty on which you may rely in deciding to contract with us.

Statements about what AGISALT plans, intends or expects to do are forward-looking. Plans change. We do not undertake to update them.

Descriptions of capabilities on the Site may refer to services in general availability, in development, or planned. AGISALT makes no representation as to the status of any capability except in a written agreement signed by an authorised officer of AGISALT.

5. Intellectual property

The Site and everything on it, including text, design, graphics, code, agent names, and the underlying AGISALT Delivery OS and agent specifications, are owned by AGISALT or its licensors and are protected by intellectual property law.

You may view the Site, and print or download extracts, for your own internal business evaluation of AGISALT. You get no other rights.

Our names, logos and agent names are covered by our Trademarks page.

6. Text and data mining, scraping and automated access

AGISALT expressly reserves all rights in the content of the Site against text and data mining, and against use of that content to train, fine-tune, ground or evaluate any machine learning or AI model.

This is an express reservation of rights for the purposes of Article 4(3) of Directive (EU) 2019/790 and any equivalent provision in other jurisdictions.

You may not, without our prior written permission:

• scrape, crawl, harvest or bulk-download the Site, except by a search engine indexing it for ordinary search results in a manner we have not blocked;
• use the Site or the assistant to train, fine-tune, benchmark or evaluate any AI model;
• use an automated agent, bot or script against the assistant, or attempt to extract its instructions, prompts, configuration or underlying model;
• circumvent any rate limit, access control or technical restriction.

7. Things you must not do

You must not:

• use the Site for any unlawful purpose, or in breach of any export control or sanctions law;
• attempt to gain unauthorised access to the Site or to any system or network connected to it;
• probe, scan or test the vulnerability of the Site except under our published responsible disclosure process on the Trust page;
• introduce malware or anything else designed to damage or interfere;
• interfere with anyone else's use of the Site;
• submit anything false, misleading, defamatory, infringing or unlawful;
• impersonate any person or misrepresent your affiliation;
• attempt to manipulate the assistant into producing content that breaches these terms or our policies;
• resell, sublicense or commercially exploit the Site or its content.

We may suspend or block access to the Site at any time, without notice, if we reasonably believe you have breached these terms.

8. Feedback

If you send us ideas, suggestions or feedback about AGISALT, our services or the Site, you grant AGISALT a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use them for any purpose without obligation or attribution. Do not send us anything you are not free to give us on those terms.

9. Third-party names, links and content

The Site refers to third-party products and organisations, including Microsoft. Those names and marks belong to their owners. A reference to a third party does not mean that party endorses, sponsors or is affiliated with AGISALT except where we say so explicitly and accurately.

The Site may link to other websites. We do not control them and we are not responsible for them.

10. Disclaimers

The Site is provided "as is" and "as available."

To the fullest extent the law allows, AGISALT disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranty arising from course of dealing or trade usage.

We do not warrant that the Site will be uninterrupted, secure or error-free, or that the assistant's output will be accurate or complete.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of liability

To the fullest extent the law allows:

• AGISALT will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or relating to the Site, however caused and on any theory of liability, even if we have been advised of the possibility.
• AGISALT's total aggregate liability arising out of or relating to the Site is limited to the maximum extent permitted by applicable law.

This section does not limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

12. Indemnity

You will indemnify and hold harmless AGISALT and its officers, directors, employees and agents against any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising from your use of the Site in breach of these terms or in breach of any law.

13. Governing law and disputes

These terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules.

You and AGISALT submit to the exclusive jurisdiction of the state and federal courts located in Delaware, and waive any objection to venue there.

If you are a consumer resident in the EEA or the UK, nothing in this section deprives you of the protection of the mandatory law of your country of residence, or of the right to bring proceedings in your local courts.

14. Changes to these terms

We may change these terms. The version on this page is the one that applies. Continuing to use the Site after a change means you accept the new terms. Material changes will be noted on the Trust page.

15. General

• Severability. If any part of these terms is unenforceable, the rest continues to apply.
• No waiver. If we do not enforce a right, that is not a waiver of it.
• Entire agreement. These terms, the Privacy Notice and the Trademarks page are the whole agreement between you and AGISALT about the Site, subject to section 1.
• Assignment. You may not assign these terms. We may assign them in connection with a merger, acquisition or sale of assets.
